Part 1 — Code of Conduct and Ethics
I. Objectives: define conduct standards with customers, suppliers, partners and authorities.
II. Principles: customer satisfaction; quality; people first; exemplary conduct.
III. Conflicts of Interest: avoid situations placing personal interests above ShipSmart’s.
IV. Anti‑corruption: prohibition on offering/receiving improper advantages; compliance with Law No. 12,846/2013; gifts only institutional/low‑value, with reporting.
V. AML: compliance with Law No. 9,613/1998 (as amended by Law No. 12,683/2012); risk‑based KYC; suspicious activity reporting.
VI. Rights and Mutual Respect: no discrimination/harassment; fair competition; protection of assets and information.
VII. Compliance: everyone must know and comply with the Code; violations subject to disciplinary measures.

Part 2 — Compliance, Anti‑corruption and Integrity Policy
I. Purpose: ensure ethical conduct, business soundness and sustainability; zero tolerance for corruption.
II. Definitions: compliance; non‑compliance risk; compliance program.
III. Guidelines: integrity culture; access to information; internal controls; segregation of duties; timely communication; ongoing training; periodic reporting to the Board.
IV. Channels: Whistleblowing (ouvidoria@shipsmart.global) and line manager; protection against retaliation; confidentiality.
V. Investigations: independent, fact‑based inquiries; objectives — risk mitigation, brand protection, continuous improvement; aggregate statistics may be communicated.
VI. Final Provisions: effectiveness depends on daily commitment; periodic review.
